offers a wide range of high-quality industrially manufactured items for
sale online in this electronic shop, with a focus on electronic products
in the broad field of Information Technology, and other similar
products, such as cell phones, computers / desktops / laptops /
notebooks, computer accessories (motherboards, processors etc), digital
cameras, HiFi products (e.g. iPods, mp3/mp4 players, Discman CD players
etc), gem-testing equipment (e.g. diamond-testing gadgets), data-storage
media such as USB flash drives / memory sticks, CD-Rs, CD-RWs, DVDs,
3.5-inch floppy disks / diskettes / micro disks, scientific calculators
etc, and miscellaneous goods such as clothes, quality perfumes etc. We
also accept and will take in your orders for
products that may seem too expensive, not easily affordable or not so
easy to get in Zambia (e.g. Diamond Testers). We may deliver a bought
item to you in person or by registered post or secure courier service or
you may pick up your bought item in Lusaka (as the conditions may apply).

The following Agreement shall be considered as entered into by
and between the System Administrator of this website (or "NETSHOP") and any Visitor /
Guest / User / Member of this website, and shall be effective
simultaneously:

thereby “using” the website, a GUEST or REGISTERED MEMBER or BUYER—hereinafter
interchangeably called “USER”—agrees to be bound by any or all of
the following Terms of Trade & Use, wherever they
apply:

OWNERSHIP
/ ACCOUNTABILITY / CONTROL:
This
website is 100% owned and controlled by NetShop
Enterprises through the
website’s System Administrator, plus any other administrators. NetShop
may be held accountable for information contained on the website,
insofar as such information affects a USER's business interaction
with NetShop. [Click here

GENERAL
USE OF THE WEBSITE / WEBSITE PERMISSIONS:
Anyone 16
years in age or older can be a USER and create an account with NetShop.
Any USER, as referred to in this Agreement (whether as a registered
member or an unregistered guest), may visit and surf the pages of this
website. The USER will visit and use the site for the purpose of only
using it within the generally acceptable bounds foreseen and set up by
the administrators of NetShop. Every USER shall desist from any
irresponsible, malicious or sinister use of our website.
iii.
CURRENCIES
& VALUES:
By
default, NetShop’s prices are all listed in Zambian Kwacha /
ZMK (or K). However, there's a function to mathematically convert all
retail prices on the Shop's items to either United States
Dollars, USD
($), or European Union
Euros, EUR (€), but not to Great British
Pounds, GBP (£). Simply click the respective flag in the header for the
prices to convert respectively. Therefore, these two other
currencies—or US dollars / $ and euro / €—may also be accepted. In
addition, NetShop’s default prices (in Zambian Kwacha / ZMK or simply
K) are all rounded off to zero (0) decimal places, with the smallest
unit of value being one Zambian Kwacha (or K1). This, theoretically,
means NetShop does not recognise any “ngwee” values or values of
less than 1 Kwacha=100 ngwee. Needless to say, the other two currencies
have each two decimal places, depicting American cents and euro-cents,
respectively. NetShop prefers all items to be paid for in ZMK. For the
two other currencies, the current official foreign
currency exchange (FOREX) rates (at the time of purchase) will be used, but a
USER wishing to pay in either USD/$ or EUR/€ would be required to ask NetShop
if they could pay in these two other currencies, if at all. [See

SHOPPING
CART:
An integral
part of every serious online shop operating, advertising or doing business on
the Internet is the electronic 'Shopping
Cart' functionality, enabling the
Internet shopper to 'collect' items in an online
shop and then CHECKOUT their Shopping Cart's contents and pay. NetShop has a
shopping-cart function integrated in the shop software installed on
its server, making it easy for anyone to buy items from NetShop
IMMEDIATELY, as easily as by the click of a
mouse! This means that it is
possible for a USER to directly buy an item in our shop (as long as they
are logged in or have registered members' accounts at NetShop), check out
and log off and then await a response from NetShop by e-mail or phone / fax. It is the
shopping cart which makes this possible, and all such inter-active
information will be stored in NetShop's own MySQL database and sent to
us, the administrators of NetShop. We, on NetShop's behalf and as the
owners operating NetShop, will then quickly contact the USER to arrange
matters to do with payment
and delivery of purchased items.
(The shopping cart is an electronic shopping trolley made accessible to
every USER. The Shopping Cart automatically keeps all track of, and
guides the USER through, their online shopping, whenever applicable. If
REALLY interested in an item or group of items in our shop, the USER is
requested to feel free and go ahead in buying the particular item or
group of items by clicking the respective button(s)—such as “Add to
Cart” or “Buy Now”—and the shopping cart will calculate and
update the respective totals for the USER at each turn).
The 2-IN-1 SHOPPING CART: There are 2 types of shopping
carts in our shop, ultimately only one, viz.:
Visitors' Cart: Every visitor to our online shop will be
given a 'Visitors' Cart'. This allows the USER to store their selected
item(s) in a temporary shopping cart. Once the visitor leaves the online
shop, so will the contents of their “shopping cart”, deleted.
Members' Cart: Every registered USER or member to our
online shop that logs in is given a 'Members' Cart'. This allows the
member to add items to their shopping cart, and come back at a later
date to finalize their checkout. All products remain in their shopping
cart until the member has checked them out, or removed the products
themselves.
NOTE: If a member, while logged off, adds items to their
'Visitors’ Cart' and decides then to log in to the online shopping
cart account to use their 'Members' Cart', the contents of their
'Visitors' Cart' will merge with their 'Members' Cart' contents
automatically.[See How

v.
MEMBERSHIP
REGISTRATION: A USER
creates a shopping cart member account with NetShop by clicking the link
“create
an account” and they will then be automatically guided through the
rest of the registration process, in which they will be demanded to
provide their Gender, real name(s), date of birth, e-mail address,
residential / Street address, location / suburb, P.O. Box No., Town /
City (they’re resident in), Province / State (as applies) and country
(which, by default, is assumed to be Zambia), telephone no., fax no. (if
available), and choose a password for log-in purposes. Every registered
USER has a permanent shopping cart account with NetShop upon
registration, with room in their account for an address book, an
“order history” and the choice of signing up for our Newsletter,
through which we inform our USERS (registered members) about discounts
and upcoming items.[See our Privacy

PERSONAL INFORMATION:
A USER accepts that in order for NetShop to facilitate smooth
information administration and the selling of items to willing
customers, any serious customer / USER would have to create an account
with NetShop through registration, with distinct specifications such as
their real name and residential and official / postal addresses etc.
NetShop pledges not to misuse said personal details or deliver them to
an unauthorised third party for online misuse or misuse in real life. In
addition, NetShop possesses an SSL certificate installed on its server,
and uses a Secure Socket Layer (SSL) connection (via an https://
address) and encrypts any sensitive or personal information sent or
filled in by the USER in their online activity in the shop. This SSL
connection makes it impossible for information to be “read” by a
third party, were it to be intercepted. This includes all information a
USER will fill into a form anywhere on the NetShop website. [See our Privacy

vii. DATA
COHERENCE: Any data, including customer personal
information, that a USER forwards to this website via
database-generated online web forms, such as in placed orders, in
USERS’ registration information when creating an account, in forwarded
email enquiries (sent as a registered member or as a guest), etc, shall,
once sent successfully, received and positively assessed by NetShop, be
deemed by NetShop to be true and may be legally binding to the USER (as
in any of the registration information a USER provides in order to buy
an item, or the standard case of a registered customer placing orders
and thus buying items at NetShop). [See our Privacy

viii.
MEMBERS’
& ADMINISTRATION AREAS: A USER will not try to hack
into areas of this website that are reserved only for administrators or
(any / other) registered member(s) of this website, as each case may
specifically apply, or log themselves with malicious intent into any
such out-of-bounds areas where they have no rights to be. No USER,
whether as a registered member or as unregistered guest, will in any form try to access the administrative tools and control panels of
NetShop.
ix. ONLINE
FORMS: Web forms are only for what they are. A USER shall not misuse any of the web forms of
this website or wilfully feed erroneous or harmful data into forms with
an intent to mock, cheat, mislead, defraud or disrupt NetShop (such as
hacking into NetShop’s source code, placing and forwarding fake orders
to the administrators of NetShop, using fake names as real names, fake
registration details, fake memberships, anything fake etc). [See

DOCUMENTATION AUTHENTICITY:
Anyone (visitor, USER or otherwise) that buys or intends to
buy an item from NetShop shall not forge any document (e.g. receipt,
warranty or bond on a bought item etc) issued by NetShop in order to
misuse this service via the Internet and make a false claim. [See
our LIMITATION OF LIABILITY]
xi. PLACING
ORDERS IN ADVANCE BY SPECIAL REQUEST: NetShop makes it possible
for any USER within Zambia to make a request of what they’d like
NetShop to help them purchase or acquire from overseas. This is
especially in view of the fact that many electronic products and gadgets
cannot be found in Zambia, since they’re always imported. On the other
hand, an electronic item may be too expensive or seem too overpriced to
afford buying from other sources in Zambia. If you have a special
request to access something you think you can't find around, please
contact NetShop—(YOU DON’T NEED TO REGISTER AS A MEMBER)—by neatly
filling in and sending this form here.

xii. CREDITS:
NetShop has no accommodation for credits and accepts no
instalment payments. Instalment payments may, however, be privately
arranged with NetShop, in very unique cases, whereby a USER contacts
NetShop IN PERSON about such an arrangement beforehand, and not after a
USER has clicked to buy an item online.

xiii.
BUYING ITEMS ONLINE:
A USER buys an item by clicking the button “Buy Now” or “Add
to Cart” for a particular item.
NetShop estimates that any USER or any customer who uses its
online service by going ahead and click “Buy Now” or “Add to
Cart” in the shop, and/or (then) clicking “CHECKOUT” to pay
for the contents of their SHOPPING CART would already be having the
money to pay for any such item(s) bought by so doing, after going ahead
by properly checking out and confirming buying the contents of
their shopping cart. The shopping cart will always be updated
accordingly. NetShop will immediately contact such a USER by phone or
e-mail for details about payment for the item(s) bought and how it/they
can be delivered to the USER, by cash-on-delivery, bank transfer, cheque/check
or by PayPal. Within Lusaka, an uncomplicated cash-on-delivery
arrangement would always be preferred. Depending on what a USER buys (or
orders) from NetShop, NetShop may arrange with the USER other payment
and / or delivery methods, such as by secure registered post. In the
latter case, additional nominal postage fees would have be agreed upon
between NetShop and the buyer, and the total amount transferred to
NetShop's bank account, prior to postage being effected. [See

xiv. PAYMENT
FOR ITEMS: In all cases, both on- & offline, NetShop accepts
cash-on-delivery or payments by (international) bank transfer. NetShop may also accept
payment by credit card, cheque / money order or through PayPal. For a USER / customer wishing
to pay from outside Zambia, NetShop automatically accepts PayPal payments or
bank transfers (in which case currency conversions may have to be made) and payments through Credit Card.
Our bank account details are available at a certain stage in the
checkout process, as long as the USER selects that payment option, and a
secure money transfer is demanded of each USER, in the case of such a
bank transfer. Our PayPal details are automatically available, but
NetShop would still contact anyone wishing to pay via PayPal, or Credit Card, for
matters to do with currency/conversions, since PayPal accepts only international
currencies and credit card payments are usually in international currencies. [See

xv. RECEIPTING:
A stamped receipt will be issued by NetShop for every transaction or
complete payment made, separately stating the VAT amount (of, currently,
17.5%) included in the retail price of every item, for every item sold
and paid for in full. Receipts shall always contain only the amount of
money paid, and will always state the balance yet to be paid to clear
the entire payment, in cases involving instalment payments. Therefore,
instalment receipts are fully valid only when accompanied by the other
receipts that complement them. For every transaction, the USER / buyer
shall get an original copy of a receipt and NetShop shall retain the
carbon copy.

xvi. DELIVERY
OF ITEMS: NetShop delivers no items that haven't been paid for,
and may not deliver items that haven't been paid for in full. NetShop
prefers to deliver items in person or after making an arrangement with
the USER. This applies especially to purchases and/or deliveries within Zambia and is the only sensible and viable alternative through which
money can be paid and exchanged with purchased items, due to certain limitations for
e-Commerce within Zambia. Otherwise, and applicable in all cases, items may also be shipped/posted to the
buyer via secure registered post. In any case, the USER would contact
NetShop or NetShop would definitely also contact the USER for
anything the USER buys at NetShop. In general, NetShop may deliver to all other destinations outside Zambia. Please note that we will process your order only when we receive confirmation or assurance of your payment. [See

xvii.
WARRANTY NOTICE:
NetShop shall honour all warranties on electronic items sold by NetShop,
except on batteries and accessories sold with the main items; as shall
be specified in the invoice statement or receipt for any particular
items in question or part thereof. For successful buyers, no USERS shall
abuse or take advantage of the 12-months warranty offered by NetShop on
a majority of electronic items sold by NetShop, to make a false claim.
This applies to every item sold by NetShop, irrespective of how it was
bought, whether online or offline / in person. Warranties are honoured
only in cases of technical / manufacture faults, and not when an item
has been maliciously exchanged with another by the USER / buyer, for
example, or exposed to physical damage or when attempts to “open” or
“repair” the item have been made on the item, or when the item has
been subjected to excessive physical pressure or to heat, water or dirt,
causing irreparable damage. ALL ITEMS with distinct registration numbers,
or electronic items such as cell phones etc and other electronic /
digital equipment, will have such identification features recorded by
NetShop and clearly included in receipts issued to USERS / buyers, and
more details saved in NetShop's administrative records, so that such items could easily be
identified again, should there be need. IN THE WARRANTY
PERIOD, ANY
PURCHASED ITEMS MAY BE RETURNED TO NETSHOP ON MUTUALLY AGREEABLE
GROUNDS, THOUGH CONDITIONS CLEARLY DIFFER FROM ITEM TO ITEM, DEPENDING
ON CIRCUMSTANCE. NETSHOP SHALL REFUND THE BUYER, if the buyer so desires
or so demands, MONEY PAID FOR AN ITEM IN FULL WITHIN THE FIRST THIRTY
(30) DAYS OF PURCHASING THE ITEM, i.e. 30 DAYS INTO THE WARRANTY PERIOD,
ONLY FOR ITEMS THAT WOULD SHOW TECHNICAL MALFUNCTIONS OR FAULTS THAT
DON'T ORIGINATE WITH THE BUYER'S USE OF THE ITEM. AFTER
THIRTY (30) DAYS, ANY PURCHASED ITEM SHOWING SUCH MANUFACTURE FAULTS SHALL BE
TAKEN BACK TO NETSHOP BY THE BUYER AND NETSHOP SHALL HAVE THE ITEM
REPAIRED FOR THE BUYER, FAILURE TO WHICH NETSHOP WOULD HAVE TO FIND AN
AGREEABLE REPLACEMENT FOR THE ITEM. A BUYER SHALL ATTEMPT NO REPAIRS ON
ANY MALFUNCTIONING ITEM, WITHOUT NETSHOP'S PRIOR CONSENT, AND IT SHALL
BE SEEN AS BEING A BREACH OF SUCH WARRANTY IF THE BUYER IGNORES SUCH A
SERIOUS PRECAUTIONARY PIECE OF AGREEMENT. IT IS THE BUYER'S OBLIGATION TO MAKE EFFORTS TO RETURN
SUCH AN ITEM TO NETSHOP WITHIN THE SPECIFIED TIME FRAME. ANY PURCHASED ITEM
SEIZED BACK (OR RETURNED WITHIN THE SPECIFIED WARRANTY PERIOD FOR
REASONS THAT HAVE NOTHING TO DO WITH ITEM TECHNICAL/MANUFACTURE FAULTS)
SHALL HAVE AT LEAST 20% OF THE MONEY/BALANCE PAID FOR THEM FORFEITED TO
NETSHOP, AS LONG AS THE ITEM WAS USED BY THE BUYER AND IN THE BUYER'S
POSSESSION FOR A PERIOD EXCEEDING FOURTEEN (14) DAYS FROM THE DATE AND
TIME OF PURCHASE. AT ANY TIME, NO PURCHASED ITEM MAY BE RETURNED TO
CLAIM A REFUND FROM NETSHOP FOR NO CONVINCING REASON AT ALL, OR NETSHOP
WITHHOLDS THE RIGHT TO DENY REFUNDS OF ANY SORT FOR ITEMS RETURNED BY
THE BUYER FOR NO PARTICULAR REASON TO DO WITH ITEM MALFUNCTION AT ALL.
NO ITEM SHALL BE ACCEPTED TO BE RETURNED FOR A FULL REFUND IF IN A
DIFFERENT PHYSICAL STATE THAN WHEN IT WAS BOUGHT FROM NETSHOP, EVEN IF
IT SHOWS NO TECHNICAL FAULTS; THIS ALSO INCLUDES ITEMS THAT WERE PAID
FOR ONLY IN PART, IN INSTALMENT PAYMENTS, TAKEN ON CREDIT, OR CASES
INVOLVING THE NON-FULFILMENT/-COMPLETION OF INSTALMENT PAYMENTS. THERE
SHALL BE NO FULL WARRANTY CLAIMS BY BUYERS FOR ITEMS THAT WERE NOT PAID
FOR IN FULL, WHILST NETSHOP SHALL RESERVE THE RIGHT TO DEMAND AN ITEM'S
FULL PRICE/BALANCE FOR ANY ITEM PAID FOR IN PART BUT THEN DAMAGED WHILE
IN THE BUYER'S POSSESSION. ALL ITEMS SHALL REMAIN THE PROPERTY OF
NETSHOP EXCEPT OR UNTIL THEY HAVE BEEN FULLY PAID UP FOR.

LIMITATION
OF LIABILITY:
WHILST
EVERY EFFORT HAS BEEN MADE TO ENSURE THAT THE INFORMATION ON THIS SITE

CANNOT BE HELD RESPONSIBLE FOR ANY INACCURACIES,
TECHNICALITIES—(ESPECIALLY
AS SUCH MAY RELATE TO ITEM TECHNICAL INFORMATION PROVIDED BY THIS

CONSEQUENCES ARISING OUT OF THE USE OF THIS SITE.

NO CIRCUMSTANCES SHALL NETSHOP BE LIABLE TO ANY USER ON ACCOUNT OF
THAT USER'S USE OR MISUSE OF OR RELIANCE ON SERVICES, INCLUDING
INFORMATION, OFFERED HERE BY NETSHOP. ARISING FROM ANY CLAIM RELATING
TO THIS AGREEMENT OR THE SUBJECT-MATTER HEREOF, SUCH LIMITATION OF
LIABILITY SHALL APPLY TO PREVENT RECOVERY OF DIRECT, INDIRECT,
INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, AND PUNITIVE DAMAGES
WHETHER SUCH CLAIM IS BASED ON WARRANTY, CONTRACT, OR OTHERWISE. SUCH
LIMITATION OF LIABILITY SHALL APPLY WHETHER THE DAMAGES ARISE FROM USE
OR MISUSE OF AND RELIANCE ON NETSHOP’S SERVICES, FROM INABILITY TO
USE NETSHOP’S SERVICES, OR FROM THE INTERRUPTION, SUSPENSION, OR
TERMINATION OF NETSHOP’S SERVICES (EXCEPT SUCH DAMAGES AS WOULD BE
INCURRED BY UNFINISHED OR INTERRUPTED BUSINESS TRANSACTIONS BETWEEN
NETSHOP AND A USER / CUSTOMER, IN WHICH SPECIFIED MONIES WOULD ALREADY
HAVE BEEN PAID TO NETSHOP, BUT NO SERVICE, ITEMS OR GOODS
DELIVERED). THIS LIMITATION SHALL ALSO APPLY WITH RESPECT TO DAMAGES
INCURRED BY REASON OF OTHER SERVICES OR GOODS RECEIVED THROUGH OR
ADVERTISED AND SOLD THROUGH NETSHOP OR SOLD THROUGH THIRD PARTIES
PROVIDED AND APPROVED BY NETSHOP TO THE USER, AS WELL AS BY REASON OF
ANY INFORMATION OR ADVICE RECEIVED THROUGH OR ADVERTISED ON
NETSHOP’S WEBSITE OR SOLD THROUGH ANY THIRD PARTIES PROVIDED AND
APPROVED BY NETSHOP’S SERVICES. THIS LIMITATION SHALL ALSO APPLY,
WITHOUT LIMITATION, TO THE COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR
SERVICES, LOST PROFITS, OR LOST DATA. SUCH LIMITATION SHALL FURTHER
APPLY WITH RESPECT TO THE PERFORMANCE OR NON-PERFORMANCE OF
NETSHOP’S SERVICES OR ANY INFORMATION OR MERCHANDISE THAT APPEARS
ON, OR IS LINKED OR RELATED IN ANY WAY TO, NETSHOP. SUCH LIMITATION
SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY
LIMITED REMEDY AND TO THE FULLEST EXTENT PERMITTED BY LAW.

MISCELLANEOUS
LEGAL PROVISIONS:
These
Terms of Trade & Use will be governed by and construed in
accordance with the Laws of the Republic of Zambia, without giving
effect to any conflict of laws or provisions of your actual state or
country of residence. If, for any reason, a court of competent
jurisdiction finds any provision or portion of these Terms of Trade
& Use to be unenforceable, the remainder of the Terms of Trade
& Use will continue in full force and effect.
The
Terms of Trade & Use constitute the entire Agreement between
NETSHOP and the USER with respect to the subject-matter
hereof and the Agreement supersedes and replaces all prior or
contemporaneous understandings or agreements, written or oral,
regarding such subject-matter. Any waiver of any provision of the
Terms of Trade & Use will be effective only if put in writing and
signed by the Administrator of NetShop.
